This document is a working draft prepared to align the Online Store's UK terms and conditions with the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Consumer Protection from Unfair Trading Regulations 2008, the Electronic Commerce (EC Directive) Regulations 2002, UK GDPR/Data Protection Act 2018, and the Digital Markets, Competition and Consumers Act 2024. It is drafted using the structure of 8Merch's existing EU terms and conditions. This is not legal advice — have it reviewed by a qualified England & Wales solicitor before publishing.

The ukmerch.villains4good.com Online Store cares for the rights of consumers. The consumer cannot waive the rights granted under the Consumer Rights Act 2015 and other mandatory UK consumer protection legislation. Any provision of these Terms and Conditions less favourable to the consumer than those rights is void, and the corresponding statutory provision applies in its place. These Terms and Conditions do not exclude or limit any right of a consumer under mandatory legal provisions, and any doubt is interpreted to the benefit of the consumer.

1. GENERAL PROVISIONS

  1. The Online Store available at ukmerch.villains4good.com is operated by 8MERCH LTD, a company registered in England and Wales under company number 16812243, whose registered office and correspondence address is Office 632b, 182 High Street North, East Ham, London, E6 2JA, United Kingdom, e-mail address: villains4gooduk@8merch.services ("Seller").

  1. These Terms and Conditions are intended only for consumers, as the Online Store does not offer its services to entrepreneurs or businesses.

  2. The Seller is the controller of personal data processed in connection with these Terms and Conditions, and processes personal data in accordance with the UK GDPR and the Data Protection Act 2018, on the basis set out in the privacy policy published on the Online Store's website. Use of the Online Store, including making purchases, is voluntary, and so is the provision of personal data, subject to the exceptions indicated in the privacy policy (conclusion of the contract and the Seller's statutory obligations).

  3. Definitions:

    1. ACCOUNT – an Electronic Service, secured by an individual login and password, which collects data provided by the Service User and information regarding Orders placed in the Online Store.

    2. CONSUMER RIGHTS ACT – the Consumer Rights Act 2015 (c. 15).

    3. CCRS – the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (SI 2013/3134).

    4. CUSTOMER – a natural person with full legal capacity who has entered into, or intends to enter into, a Sales Agreement with the Seller.

    5. NEWSLETTER – an Electronic Service; an electronic distribution service enabling subscribed Service Users to automatically receive Online Store content, including information on Products, new additions, and promotions.

    6. ONLINE STORE – the Seller's store available at ukmerch.villains4good.com.

    7. ORDER – a Customer's declaration of intent submitted using the Order Form, for the purpose of concluding a Product Sales Agreement with the Seller.

    8. ORDER FORM – an Electronic Service; an interactive form available in the Online Store enabling placement of an Order, including addition of a Product to the electronic shopping cart and specification of Sales Agreement terms, such as delivery and payment method.

    9. PRODUCT – a movable item available at the Online Store, being the subject of a Sales Agreement between the Customer and the Seller.

    10. SALES AGREEMENT – a Product sales agreement concluded, or pending conclusion, between the Customer and the Seller via the Online Store.

    11. SELLER; SERVICE PROVIDER – 8MERCH LTD, as identified above in Section 1.

    12. SERVICE USER – a natural person with full legal capacity who uses, or intends to use, an Electronic Service.

    13. TERMS AND CONDITIONS – these Online Store terms and conditions.

    14. WORKING DAY – a day from Monday to Friday, excluding public holidays in England and Wales.

  4. Complaints related to the provision of Electronic Services (excluding Product complaints, which are described in Section 6) can be submitted by the Service User in writing to Office 632b, 182 High Street North, East Ham, London, E6 2JA, or electronically to villains4gooduk@8merch.services. It is recommended, though not required, that the complaint include: (1) the circumstances and date of the issue; (2) the Service User's request; and (3) contact details. The Seller will address the complaint without delay, and no later than within 14 calendar days of submission.

2. ELECTRONIC SERVICES PROVIDED BY THE ONLINE STORE

  1. The Online Store provides access to the following Electronic Services: Account, Order Form, Newsletter.

  2. Account – use of the Account becomes possible once the Service User (1) completes the Order Form and (2) clicks “Create an account”. The Account is created at the moment the Order is placed. This service is free of charge and provided for an indefinite time. The Service User may delete their Account at any time, without giving a reason, by emailing villains4gooduk@8merch.services or writing to the Seller's address above.

  3. Order Form – use begins once the Customer adds the first Product to the electronic shopping cart. An Order is placed once the Customer (1) completes the Order Form and (2) clicks “Confirm purchase”. This service is free of charge, single-use, and concluded upon placement of the Order or earlier discontinuation by the Service User.

  4. Newsletter – sent once the Service User provides an e-mail address and confirms sign-up, either via the “Newsletter” page or by checking the relevant box when creating an Account. This service is free of charge and provided for an indefinite time. The Service User may unsubscribe at any time, without giving a reason, via the same methods as for the Account.

  5. Minimum technical requirements: (1) a computer, laptop, or other device with Internet access; (2) e-mail access; (3) a current version of a standard Internet browser (e.g. Chrome, Firefox, Safari, Edge).

  6. The Service User must use the Online Store in accordance with the law and in respect of the personal rights, copyrights, and intellectual property rights of the Seller and third parties, and must provide true and accurate data.

3. TERMS OF CONCLUDING SALES AGREEMENTS

  1. A Sales Agreement is concluded once the Customer places an Order via the Order Form, as described in Section 2 above.

  2. Product prices are displayed in GBP and, where applicable, include VAT. For deliveries outside the United Kingdom, the Customer is responsible for any additional taxes or import duties. The Customer is informed of the total Order value, delivery costs, and any other costs before placing the Order and at the moment of expressing intent to conclude the Sales Agreement.

  3. After the Order is placed, the Seller promptly confirms receipt and acceptance by e-mail to the address provided by the Customer, confirming conclusion of the Sales Agreement. The Sales Agreement is concluded once the Customer receives that message.

  4. The content of the concluded Sales Agreement is recorded and secured by (1) making these Terms and Conditions available on the Online Store's website and (2) sending the confirmation e-mail described above, and is additionally retained within the Seller's systems.

4. METHODS AND TERMS OF PRODUCT PAYMENT

  1. The Seller makes available the payment methods displayed at checkout on the Online Store, which may include payment by debit or credit card, PayPal, and other methods processed through the Online Store's payment service providers.

  1. Where the Customer selects bank transfer, card, or other electronic payment, payment is due within 10 Working Days of the Sales Agreement's conclusion.

5. COSTS, METHODS AND TERMS OF PRODUCT DELIVERIES

  1. The Online Store delivers Products to addresses within the United Kingdom, the European Union, and selected other countries. For deliveries outside the United Kingdom, the Customer is solely responsible for all customs duties, import taxes, and customs handling fees applicable in the destination country; the Seller bears no responsibility for delays or additional costs arising from customs clearance.

  2. Delivery costs are shown on the Online Store's website, in the delivery information page, and again during checkout before the Customer confirms the Order.

  3. The Seller delivers Products using courier service.

  4. Delivery time is up to 7 Business Days from the date the Order is confirmed (or, for card/bank transfer payments, from the date the Seller's account is credited), unless a shorter or longer term is stated for a given Product. Where an Order includes Products with different delivery times, the longest applicable time applies, up to a maximum of 7 Business Days unless otherwise stated at the time of purchase.

6. PRODUCT COMPLAINTS

The basis and extent of the Seller's liability to the Customer where a Product does not conform to the Sales Agreement are set out in the Consumer Rights Act 2015 (Part 1). These include the following consumer remedies, which cannot be excluded:

  1. A short-term right to reject a Product that is not of satisfactory quality, not fit for purpose, or not as described, for a full refund, normally available within 30 days of delivery.

  2. Thereafter, the right to require repair or replacement of the Product free of charge, within a reasonable time and without significant inconvenience.

  3. Where repair or replacement is not possible, fails, or is not provided within a reasonable time, the right to a price reduction or to reject the Product for a refund (which may be reduced to reflect use of the Product, other than within the first 30 days).

  4. Detailed information regarding the Seller's product liability and the Customer's rights is available on the Online Store's website under the “Product Complaint” tab.

  5. A complaint can be submitted in writing to 3 Lancaster House, Edison Park, Hindle Way, Swindon, SN3 3RT, or electronically to villains4gooduk@8merch.services. It is recommended, though not required, that the Customer include: (1) the circumstances and date the defect occurred; (2) the requested remedy (repair, replacement, price reduction, or rejection); and (3) contact details.

  6. The Seller will address the complaint without delay, and no later than within 14 calendar days of submission. If the Customer requests a repair, replacement, or price reduction and the Seller does not respond within that period, the complaint is treated as accepted.

  7. Where the Customer exercises rights under this Section, the defective Product is returned at the Seller's expense to the address above in this Section, unless the nature of the Product means collection is more appropriate, in which case the Customer must make the Product available for collection at its location.

7. ALTERNATIVE DISPUTE RESOLUTION

  1. The Seller does not currently use an Alternative Dispute Resolution (ADR) provider accredited under Part 4 of the Digital Markets, Competition and Consumers Act 2024 for disputes with Customers.

  2. If a complaint cannot be resolved directly with the Seller, the Customer may seek independent guidance from the Citizens Advice consumer helpline (0808 223 1133, www.citizensadvice.org.uk) or their local Trading Standards service, or pursue the matter through the small claims track of HM Courts & Tribunals Service.

8. RIGHT TO WITHDRAW FROM AN AGREEMENT

A Customer who is a consumer and who entered into the Sales Agreement remotely may, within 14 calendar days, withdraw from that agreement without stating a reason and without incurring costs, other than those described later in this Section. It is sufficient to send the withdrawal declaration before the deadline expires. The declaration may be submitted:

  1. in writing to 3 Lancaster House, Edison Park, Hindle Way, Swindon, SN3 3RT;

  2. electronically to villains4gooduk@8merch.services;

  3. electronically using the “Withdraw from Agreement” button or link available on the Online Store, such as in the Customer's account or on the order status page, where enabled.

  4. A model withdrawal form is set out in Section 10 of these Terms and Conditions. The Customer may use it, but is not required to.

  5. The withdrawal period begins on the date the Customer (or a third party other than the carrier, nominated by the Customer) takes possession of the Product, or, for agreements covering multiple Products delivered separately, on the date the last Product is received; for service agreements, the period begins on the date the agreement is concluded.

  6. Withdrawal renders the Sales Agreement void.

  7. The Seller will refund all payments made by the Customer, including standard delivery costs (but not any additional cost from a non-standard delivery method chosen by the Customer), without undue delay and no later than 14 calendar days after being informed of the withdrawal. The refund is issued using the same payment method used by the Customer, unless otherwise agreed, and at no extra cost to the Customer. The Seller may withhold the refund until the Product is received back, or evidence of return dispatch is provided, whichever is earlier.

  8. The Customer must return the Product without undue delay, and no later than 14 calendar days after notifying the Seller of the withdrawal, to 3 Lancaster House, Edison Park, Hindle Way, Swindon, SN3 3RT, unless the Seller has offered to collect it. It is sufficient to dispatch the Product before this deadline expires.

  9. The Customer is liable for any diminished value of the Product resulting from handling beyond what is necessary to establish its nature, characteristics, and functioning.

  10. Costs associated with withdrawal payable by the Customer: (1) where the Customer selected a delivery method other than the least expensive standard option offered by the Online Store, the Seller is not required to refund the difference; (2) the Customer bears the direct cost of returning the Product; (3) for services the performance of which began, at the Customer's express request, before the withdrawal deadline, the Customer must pay for the services provided up to the point of withdrawal, calculated proportionately.

The right to withdraw does not apply to, among others, agreements for:

  1. services fully performed with the consumer's express consent, having been informed that the right to withdraw would be lost on completion;

  2. goods made to the consumer's specifications or clearly personalised;

  3. goods that are liable to deteriorate or expire rapidly;

  4. sealed goods not suitable for return for health protection or hygiene reasons, once unsealed after delivery;

  5. goods that become inseparably mixed with other items after delivery;

  6. sealed audio, video, or software goods, once unsealed after delivery;

  7. newspapers, periodicals, or magazines, except subscription agreements for such publications;

  8. digital content not supplied on a tangible medium, where performance has begun with the consumer's express consent and acknowledgement that the right to withdraw would be lost.

  9. Customers habitually resident in a European Union member state are entitled to withdraw from the Sales Agreement on equivalent terms to the preceding points of this Section, reflecting their rights under Directive 2011/83/EU (as amended).

  10. Customers habitually resident outside the United Kingdom and the European Union are not entitled to withdraw from a concluded Sales Agreement once the Product has been dispatched, but may cancel their Order free of charge before dispatch by emailing villains4gooduk@8merch.services; the Seller will confirm whether cancellation is possible within 1 Working Day.

  11. Nothing in the preceding point limits any right the Customer may have under the mandatory consumer protection law of their country of habitual residence in respect of Products that are defective, not as described, or otherwise non-conforming — such claims should be submitted under the complaint procedure in Section 6.

9. FINAL PROVISIONS

  1. Agreements concluded through the Online Store are drawn up in English.

  2. The Seller may amend these Terms and Conditions for significant reasons, such as a change in the law or in payment or delivery methods, to the extent the change affects performance of these Terms and Conditions. For ongoing services (e.g. the Account), amended Terms bind the Service User provided they have been properly notified and have not terminated the agreement within 14 calendar days of notice; where an amendment introduces or increases any charge, a consumer Service User may withdraw from the agreement. Amendments do not affect Sales Agreements already concluded or Orders already placed.

  3. These Terms and Conditions, and any Sales Agreement concluded through the Online Store, are governed by the law of England and Wales. Where the Customer is a consumer habitually resident in another country, this choice of law does not deprive the Customer of the protection of any mandatory consumer-protection provisions of the law of that country which cannot be excluded by agreement.

  4. Any dispute arising from these Terms and Conditions or a Sales Agreement is subject to the non-exclusive jurisdiction of the courts of England and Wales; a consumer may also be entitled to bring proceedings in the courts of their own country of residence.

  5. In matters not regulated by these Terms and Conditions, the applicable law of England and Wales governs, in particular: the Consumer Rights Act 2015; the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013; the Consumer Protection from Unfair Trading Regulations 2008; the Electronic Commerce (EC Directive) Regulations 2002; UK GDPR and the Data Protection Act 2018; the Digital Markets, Competition and Consumers Act 2024; and other applicable provisions of English law.

 

10. MODEL WITHDRAWAL FORM
